OpenID Foundation Updates Bylaws

The OpenID Foundation board or directors unanimously approved updating the Foundation’s Bylaws by a 75% supermajority vote as required by the Bylaws (Section 9.2 Bylaw Amendments) at the November 16, 2023 board meeting. The new Bylaws are effective as of November 16, 2023.

From the founding of the OpenID Foundation, the Foundation has intended to maintain balance between Sustaining and Individual (“Community”) representatives and later Corporate representatives on the board. For many years, The Foundation has had 6-7 Sustaining members at a ratio to 3 Community and 1 Corporate representatives. The Foundation currently has 12 Sustaining members and over 150 Corporate members.

The Executive Committee (EC) and Board recently revisited the topic of balance of board members and agreed to proceed with updating the ratios of Community and Corporate representatives on the board relative to the number of Sustaining members. The EC and Board noted that adding more representatives brings more voices and expertise to the Board, balancing the Sustaining member voices.

A summary of key changes to the Bylaws:

  • Update Individual representative to Community representative to better reflect the position
  • Add additional Community representatives to the Board in line with the ratio in Byalws, as of December 1st of each year
  • Add an additional Corporate representative to the Board when more than 140 corporate entities are members, as of December 1st of each year
  • Create a minimum number of Board members as 5 people, and a maximum of 38, as per the proposal

All changes to the Bylaws are documented in the “Summary of Changes to Bylaws”.

2024 OpenID Foundation election will be updated based on the Bylaws to include:

  • 2 Community representative seats for 2-year terms (1 seat prior)
  • 2 Corporate representative seats for 1-year terms (1 seat prior)

The 2024 OpenID Foundation election will kick off on Monday, December 11, 2023 with full details including election schedule published then.
